# Steering Committee Charter Template

## 1. Purpose

The Steering Committee sets direction and priorities for the [Region] Child
Care Coalition and is accountable to the full membership.

## 2. Composition

- [5–9] members, always an odd number
- Must include at least [2] employer representatives and [1] provider
- Convener organization holds one seat
- Terms: [2] years, staggered; members may serve [2] consecutive terms

## 3. Decision-making

- Quorum: majority of seats
- Default mode: consensus sought on every decision
- Fallback: if consensus isn't reached in one meeting, simple majority vote
  at the next; the minority position is recorded in the minutes
- Between meetings: coordinator may act on established priorities; anything
  new waits or gets an email vote with 72-hour window

## 4. Meetings

- Cadence: [monthly]; agenda and materials out [5] days ahead
- Minutes shared with full membership within one week

## 5. Conflicts of interest

Members declare conflicts on any funding or vendor decision and abstain
from those votes.

## 6. Amendments

This charter may be amended by two-thirds of seated members with two weeks'
notice.
